Service Agreement / Client Contract

1. Agreement Overview

This Service Agreement (“Agreement”) is entered into between Red Pixels Agency (“Agency”) and the client (“Client”).

By purchasing services or entering into a project, the Client agrees to the terms outlined below.

2. Scope of Work

The scope of work will be defined in:

  • Project proposal
  • Invoice
  • Written agreement (email or document)

Only items explicitly listed are included.

Anything outside the agreed scope is considered additional work and may incur extra fees.

3. Payment Terms

Deposits

  • A non-refundable deposit is required to begin work
  • Deposits secure time, planning, and resources

Final Payment

  • Remaining balance is due before final delivery or launch
  • No files, websites, or assets will be released until payment is complete

Late Payments

  • Late payments may result in:
    • Project delays
    • Suspension of services

4. Revisions & Changes

Included Revisions

Projects include a limited number of revisions as agreed upon.

Additional Revisions

Excess revisions or major changes:

  • May incur additional fees
  • May extend project timelines

5. Client Responsibilities

The Client agrees to:

  • Provide all required content, assets, and feedback in a timely manner
  • Review and approve deliverables promptly
  • Ensure all provided content is legally owned or licensed

Delays caused by the Client may impact timelines and delivery.

6. Project Timeline

Timelines are estimates and depend on:

  • Project scope
  • Client responsiveness
  • Revision cycles

Delays do not qualify for refunds.

7. Ownership & Rights

Transfer of Ownership

Ownership of final deliverables is transferred only after full payment is received.

Agency Rights

The Agency retains the right to:

  • Showcase work in portfolios
  • Use project materials for marketing purposes

8. Third-Party Tools & Services

Projects may include third-party tools such as:

  • Hosting providers
  • Plugins or themes
  • APIs or integrations

The Agency is not responsible for:

  • Downtime
  • Security issues
  • Changes made by third-party providers

9. Maintenance & Support

Unless otherwise agreed:

  • Ongoing maintenance is not included
  • The Client is responsible for updates, backups, and security

Maintenance plans may be offered separately.

10. Termination

Either party may terminate the project.

If terminated by Client:

  • Payments made are non-refundable
  • Work completed up to termination will be billed

If terminated by Agency:

  • Work completed will be delivered proportionally
  • Remaining balance will be adjusted if applicable

11. Limitation of Liability

To the fullest extent permitted by law, Red Pixels Agency shall not be liable for:

  • Loss of revenue, profits, or data
  • Business interruptions
  • Website performance issues
  • Client misuse of deliverables

12. Acceptable Use

All services are subject to our Acceptable Use Policy.

The Agency reserves the right to refuse or terminate services for violations.

13. No Guarantees

The Agency does not guarantee:

  • SEO rankings
  • Traffic increases
  • Sales or conversions

All outcomes depend on external factors beyond our control.

14. Governing Law

This Agreement shall be governed by the laws of the applicable jurisdiction in which Red Pixels Agency operates.

15. Agreement Acceptance

By purchasing services or making payment, the Client confirms they have read, understood, and agreed to this Agreement.
